Paycent services are governed by these Terms of Use. Please read the following terms and conditions carefully before registering, accessing, browsing, downloading or using the Site (defined below) and/or Paycent Application. By accessing or using the Application or Site or by using the Services (defined below), you agree to be bound by these terms and conditions set forth below including any additional guidelines and future modifications. If at any time you do not agree to these terms and conditions or do not wish to be bound by these terms and conditions, you may not access or use the site and immediately terminate your use of the services.
1.1 Vista Infotech Ltd is a company incorporated under the laws of The United Kingdom with registration number 12483954. We are issuing electronic wallet which we called "PAYCENT".
2.1 These Terms of Use govern the opening, use and closure of your Paycent. Together with our Privacy Policy, and any other terms and conditions referred to therein, they constitute the legal relationship between you and us. For the use of additional services and products, you may have to accept additional terms and conditions as notified to you when you are ordering or using such services. You are advised to print or download and keep a copy of these Terms of Use for future reference. You can always view the current Terms of Use on our Website.
3.1 Your Paycent is an electronic wallet account which enables you to send and receive funds in your Paycent wallet.
3.2 The Paycent wallet on your Paycent is issued in accordance with the laws of UK
3.3 Your Paycent is denominated in a currency which link to the currency, as selected by you from the available currencies.
3.4 Subject to section 9, the paycent wallet held on your Paycent does not expire but it will not earn any interest.
3.5 You have the right to Cash Out fund from your Paycent at any time. However, you may be required to confirm your identity beforehand. There is no minimum withdrawal amount but the funds on your Paycent account must be sufficient to cover any applicable withdrawal or cash out fee.
3.6 Paycent wallet accounts are not bank accounts. In the unlikely event that we become insolvent, you may lose the electronic wallet held in your Paycent. However, we strictly adhere to the legal requirements under the E-money Law which are designed to ensure the safety and liquidity of funds added in Paycent.
3.7 The value on Paycent belongs to the person which is registered as the Paycent user. No person other than the Paycent user has any rights in relation to the funds held in Paycent, except in cases of succession. You may not assign or transfer your Paycent to a third party or otherwise grant any third party a legal or equitable interest over it.
3.8 Your Paycent account may be subject to funding, payment and withdrawal limits, depending on your country of residence, the verification status of your Paycent and other factors used by us to determine such limits from time to time at our sole discretion.
4.1 You hereby acknowledge and accept that by opening and maintaining a Paycent account in accordance with sections 5 and 7 below you will be establishing a business relationship with Vista Infotech Ltd and that pursuant to the Anti-Money Laundering Law we are bound to apply customer identification and due diligence measures not only to new account user but also at appropriate times to existing user.
4.2 You hereby agree and acknowledge that we may at any point of your business relationship with Vista Infotech Ltd request information and/or documentation to establish that our identification records, as well as the information that form your profile, remain completely updated throughout our business relationship. In this respect, we reserve the right to examine and check on a regular basis the validity and adequacy of your identification data and information we maintain.
4.3 You hereby agree and acknowledge that, if at any time during the business relationship with you we become aware that reliable or adequate data and information are missing from your identity, we reserve the right to take all necessary actions, by applying the customer identification and due diligence procedures provided in the FCA, to collect the missing data and information, the soonest possible, so as to update and complete your profile.
4.4 You hereby acknowledge and accept that if you fail or refuse to submit, within a reasonable timeframe, the required data and identification information for the updating of your identity and, as a consequence, we are unable to comply with the customer identification requirements set out in the Law and the FCA directive, then we shall be obliged to terminate our business relationship with you and close all your accounts held with Vista Infotech Ltd concerned while at the same time we shall examine whether it is warranted under the circumstances to submit a report of suspicious transactions/activities to FCA.
5.1 In order to use our Paycent wallet services, you must first create a Paycent account. As part of the signup process, you will need to accept these Terms of Use and our Privacy Policy and you must have legal capacity to accept the same. If you order additional services, you may be asked to accept additional terms and conditions.
5.2 By creating a Paycent account, you represent and warrant to us that your opening of a Paycent does not violate any laws or regulations applicable to you. You shall indemnify us against any losses we incur in connection with your breach of this section.
5.3 To be eligible to use Paycent, you must be at least 18 years old. For minors, you shall provide a consent form duly completed by your parent/legal guardian along with your and their identification documents.
5.4 All information you provide during the signup process or any time thereafter must be accurate and truthful.
5.5 You may add bank accounts, debit cards, and Paycent Vouchers for adding fund to your Paycent.
5.6 Paycent accounts are personal and non-transferrable. By using Paycents, you agree that you will not create more than one account, or that we may, without notice, close or suspend any or All of the Accounts of the member who has or
6.1 You must ensure that the information recorded on your Paycent is always accurate and up to date and we shall not be liable for any loss arising out of your failure to do so. We may ask you at any time to confirm the accuracy of your information or to provide documents or other evidence.
6.2 We may contact you by e-mail, SMS or in other ways described in section 21 with information or notices regarding your Paycent. It is your responsibility to regularly check the proper functioning of your e-mail account or other methods of communication that you have registered with your Paycent and to retrieve and read messages relating to your Paycent promptly. We shall not be liable for any loss arising out of your failure to do so.
6.3 Fundings, funds received, funds sent and cash out are displayed in your online statement or transaction history together with the fees charged. You should report any irregularities or clarify any questions you have as soon as possible by contacting our support hotline.
6.4 Subject to the provisions of section 10 below, in order to claim a refund for an unauthorized or incorrectly executed transaction on your Paycent you must notify us without undue delay after becoming aware of the unauthorized or incorrect transaction and in any event no later than thirteen (13) months after the debit date of the transaction.
7.1 In order to use our service, you will use either mobile number and/or email address to register with your assigned password. You can change your password anytime. We suggest you use a unique password known only to you.
7.2 You must take all reasonable steps to keep your Security Information safe at all times and never disclose it to anyone. Our personnel will never ask you to provide your Security Information to us or to a third party. Any message you receive or website you visit that asks for your Security Information about your Paycent, should be reported to us. It is advisable to change your Security Information regularly (at least every three (3) to six (6) months) in order to reduce the risk of a security breach in relation to your Paycent. We also advise you not to choose Security Information that is easily guessed from information someone might know or gather about you or Security Information that has a meaning. You must never allow anyone to access your Paycent or watch you accessing your Paycent.
7.3 If you have any indication or suspicion of your Security Information, Paycent login details, password or other security feature being lost, stolen, misappropriated, used without authorization or otherwise compromised, you are advised to change your Security Information. You must contact Paycent Customer Support without undue delay on becoming aware of any loss, theft, misappropriation or unauthorized use of your Security Information, Paycent login details, password or other security features. Any undue delay in notifying us may not only affect the security of your Paycent but may result in you being liable for any losses as a result. If you suspect that your Paycent was accessed by someone else, you should also contact us immediately.
7.4 We may suspend your Paycent or otherwise restrict its functionality on reasonable grounds relating to the security of the Paycent or any of its security features or if we reasonably suspect that an unauthorized or fraudulent use of your Paycent has occurred or that any of its security features have been compromised. We will notify you of any suspension or restriction and of the reasons for such suspension or restriction in advance or, where we are unable to do so, immediately after the suspension or restriction has been imposed, unless notifying you would be unlawful or compromise our reasonable security interests. We will lift the suspension and/or the restriction as soon as practicable after the reasons for the suspension and/or restriction have ceased to exist.
7.5 You must take all reasonable care to ensure that your e-mail account(s) are secure and only accessed by you, as your e-mail address may be used to reset passwords or to communicate with you about the security of your Paycent. In case any of the e-mail addresses registered with your Paycent are compromised, you should without undue delay after becoming aware of this contact Customer Support and also contact your e-mail service provider.
7.6 Irrespective of whether you are using a public, a shared or your own computer to access your Paycent, you must always ensure that your login details are not stored by the browser or cached or otherwise recorded. You should never use any functionality that allows login details or passwords to be stored by the computer you are using.
7.7 Additional products or services you use may have additional security requirements and you must familiarize yourself with those as notified to you.
8.1 You may close your Paycent at any time by contacting Customer Support.
8.2 If your Paycent holds a balance at the time of its closure, we will ask you to withdraw your funds within a reasonable period of time, during which your Paycent will be accessible for the purpose of withdrawing the remaining balance only. After the expiry of this period, you will not be able to access your Paycent but you may withdraw any remaining funds by contacting Customer Support and requesting that the funds will be available for cash out in any cash out outlet in a manner that is reasonably acceptable for us. You may do so at any point in time for a period of six months from the date of closure of your Paycent but we suggest that you withdraw your remaining funds as soon as possible as they will not earn any interest. Your obligations with regards to keeping your Paycent safe as set forth in section 7 shall continue to apply.
8.3 We reserve the right to carry out any necessary money laundering, terrorism financing, fraud or other illegal activity checks before authorizing any withdrawal or cash out of your funds, including in relation to returning any funds to you after you have closed your Paycent.
9.1 You can fund your Paycent by logging into your Paycent and following the relevant funding instructions. You may be presented with a number of the following funding methods such as:
9.1.1 Bank Account. You can add fund via fund transfer from your bank account.
9.1.2 Paycent Voucher. Paycent is offering voucher that you can use to add fund to your wallet
9.1.3 Debit Card. You can use your debit card to add fund to your Paycent wallet.
9.1.4 Cash via Paycent Cash In partners; You can add fund via register cash in partners of Paycent.
9.1.5 Banking Partner. By partnering with a bank, Paycent will be providing you a dedicated account from the banking partner that you can use to add fund to your Paycent wallet where the following conditions applied:
9.1.5.1 The dedicated account is to be used only by a User for funding the Paycent wallet only.
9.1.5.2 Third parties are strictly prohibited to add funds in your dedicated account. If we determine that the account have been funded by third parties, the fund will not be recognized and will be set on hold for proper handling of prohibited activity.
9.2 You may be asked to answer security questions or to complete other activities that we may reasonably require to ensure proper authorization of a funding transaction.
9.3 Funds may be subject to limits due to security and legal requirements.
9.4 Funding is subject to fees and currency conversion fees.
10.1 To send fund you are required to authorize the sending of funds with your login details and password. We may also ask you additional security questions relating to you or your Paycent.
10.2 Every recipient of fund you wish to send must have an active Paycent.
10.3 The fund sent will be deducted to your Paycent and will be added to the Paycent recipient when you confirm the sending fund transaction.
10.4 Sending funds is subject to fees and currency conversion fees.
11.1 The value funded to the Paycent Wallet may be used to purchase goods and services from Paycent Accredited Merchants using the Paycent fund transfer executed by the Paycent user in Paycent application.
11.2 You hereby acknowledge and accept that any goods or service bought using Paycent is a matter between you and the relevant merchant. We do not act as an agent or representative of any Paycent holder or merchant. Any claims you may have relating to your transactions that are not directly related to the payment process must be directed to the relevant merchant.
11.3 We do not accept any claim for chargeback (reverse payment) as this is a matter between you and the relevant merchant.
12.1 If you receive funds into your Paycent, we will send you a notification e-mail and sms and display the transaction in your online statement. You should regularly reconcile incoming funds with your own records.
13.1 You can Cash out of all or part of the funds held in your Paycent at any Paycent cash out partners during business hours.
13.2 You must ensure that the payment details you enter when withdrawing funds are correct and complete.
14.1 Bills Payment pertains to a bill payment. The Value funded to Paycent may be used to pay bills in the accredited billers of Paycent.
15.1 You can top up your mobile phone using Paycent. The value funded to Paycent may be used to top up mobile phone instantly.
16.1 Transaction related fees can be viewed at any time in the "Fees" section of our Website/Application.
17.1 You must send a written request to hello@paycent.com using your registered email address for any refund arising out of or in connection with your use of your Paycent Account. Vista Infotech Ltd reserves the right, at its sole discretion, to deny any refund request received from unregistered email address and other communication platform or for any other reason as we deem fit.
17.2 If you have a balance left in your Paycent account that you wish to claim, you may at any time use the cash-out or send features of your Paycent account unless we deliberately suspended or terminated your account due to violation in any part of this terms and if the law prohibits us from releasing the funds to you.
17.3 In case you are eligible and granted a refund, any refund will be made using the same method that you used or another method at our discretion.
18.1 The processing of your data is governed by our Privacy Policy which can be found on our Website. By accepting these Terms of Use, you also agree to the terms of our Privacy Policy. You should print and keep a copy of the Privacy Policy together with these Terms of Use.
18.2 As a default, you will receive e-mail newsletters that will inform you about new product features, events, promotions, special deals etc. By accepting these Terms of Use, you agree to receive such e-mail newsletters on a regular basis. If you do not wish to receive any newsletters from us, you can opt out at any time by logging into your Paycent and changing the appropriate setting in your Paycent profile. You can also opt out of receiving newsletters by contacting Customer Support. Any e-mail newsletter you receive will also give you the option to unsubscribe from any future newsletter.
19.1 To provide more services, Paycent provides selected connections to other websites and business enterprises. These connections help you to trade, transact, and pay more conveniently with third-party.
19.2 You further acknowledge and agree that We shall not be responsible for any direct or indirect damage related to products and/or services provided by any third-party website or services.
20.1 Vista Infotech Ltd makes no warranty, express or implied, regarding Paycent Service. The Paycent Service is offered on an "AS IS", "AS AVAILABLE" basis without warranties of any kind, other than warranties that are incapable of exclusion, waiver or limitation under the laws applicable to this Agreement. Without limiting the generality of the foregoing, Vista Infotech Ltd makes no warranty:
20.1.1 as to the content, quality or accuracy of data or information provided by Vista Infotech Ltd hereunder or received or transmitted using Paycent;
20.1.2 as to any service or product obtained using Paycent;
20.1.3 that Paycent will be uninterrupted or error-free; or
20.1.4 that any particular result or information will be obtained.
20.2 Vista Infotech Ltd shall not be liable for any loss, cost, compensation, damage or liability to the Paycent User or third party arising from, directly or indirectly, or as a result of any or all of the following:
20.2.1 Refusal Paycent Accredited Partners or Merchants or any establishment to allow, accepts or honors Paycent
20.2.2 Paycent is honored by Paycent Accredited Partners or Merchants; however, payment transaction is not authorized, for any reason whatsoever.
20.2.3 Paycent user is unable to perform or complete any transaction thru the use of mobile phone due to service/system/line unavailability.
20.2.4 Any delay, interruption or termination of the Paycent transaction whether caused by administrative error, technical, mechanical, electrical or electronic fault or difficulty or any other reason or circumstance beyond Vista Infotech Ltd Control (including but not limited to acts of God, fire, flood, lightning, weather conditions, labor disputes, disturbance, action of government, interference or damage by third parties or any change in legislation)
20.2.5 Unauthorized use of Paycent Wallet or any loss, costs, damages or payable to any third party by the Paycent User.
20.2.6 Any misrepresentation or fraud by or misconduct of any third party, such as but not limited to owners, employees or Paycent agents.
21.1 We may at any time suspend or terminate your Paycent without notice in case:
21.1.1 you breach any condition of these Terms of Use or any other condition applicable to specific services covered by separate terms and conditions;
21.1.2 you violate or we have reason to believe that you are in violation of any law or regulation that is applicable to your use of our services; or
21.1.3 we have reason to believe that you are in any way involved in any fraudulent activity, money laundering, terrorism financing or other criminal activity.
21.2. We may suspend your Paycent at any time if:
21.2.1. we reasonably believe that your Paycent has been compromised or for other security reasons; or
21.2.2. we reasonably suspect your Paycent to have been used or is being used without your authorization or fraudulently; and we shall notify you either prior to the suspension or, if prior notification is not possible under the circumstances, promptly after the suspension unless we are prohibited by law to notify you.
22.1 Vista Infotech Ltd reserves the right to amend these terms and conditions at any time with or without prior notice including a change in the rate schedule for the service. In the event of litigation arising from or in connection with this contract, the Customer hereby agrees that the venue thereof shall be the proper courts of UK to the exclusion of all other courts.
23.1 We usually communicate to you via your registered e-mail You are required to check for incoming messages regularly and frequently. E-mails may contain links to further communication on our Website.
23.2 Where legislation requires us to provide information to you on a durable medium, we will either send you an e-mail (with or without attachment) or send you a notification pointing you to information on our Website or application in a way that enables you to retain the information in print format or other format that can be retained by you permanently for future reference. You are required to keep copies of all communications we send or make available to you.
23.3 You can request a copy of the current Terms of Use or any other contractual document relevant to you by contacting our Customer Support hotline.
23.4 We will communicate to you in English and will always accept communications made to us in English.
23.5 Apart from communicating via e-mail, we may contact you via sms to your registered mobile number.
23.6 You may contact us at any time by sending a message to Customer Support via the "E-Mail Support" facility on our Website or by calling support hotline.
24.1 Any complaints about us or the services we provide should be addressed to us in the first instance by contacting Customer Support. You should clearly indicate that you are wishing to make a complaint to us. This helps us to distinguish a complaint from a mere query. We send you a complaint acknowledgment by post or by e-mail within 48 hours of receiving your complaint in accordance with our complaints procedure. You may request a copy of our complaints procedure at any time by contacting Customer support
25.1 No person other than you shall have any rights under these Terms of Use.
25.2 Your Paycent is personal to you and you may not assign any rights under the Terms of Use to any third party.
25.3 Your Paycent is operated in UK and these Terms of Use shall be governed by and interpreted in accordance with the laws of UK. Any dispute under these Terms of Use or otherwise in connection with your Paycent shall be brought exclusively in the courts of UK.
25.4 If any part of these Terms of Use is found by a court of competent jurisdiction to be invalid, unlawful or unenforceable then such part shall be severed from the remainder of the Terms of Use, which shall continue to be valid and enforceable to the fullest extent permitted by law.
26.1 We use cookies on the Website of our products to provide our services to you. Cookies are bits of electronic information that the relevant website can transfer to your hard drive to help tailor and keep records of your visit to that specific website. If you visit the Website, cookies are used to allow us to recognize your device so that we can provide our service to you, for example, to identify the language you have selected and the relevant service that you use. Vista Infotech Ltd may, however, obtain, exchange or disclose information to its associates, affiliates, officers, employees, agents, lawyers, or any such persons or entities as Vista Infotech Ltd deems necessary, or as required by law, rule or regulation.
Various terms in these Terms of Use have a defined meaning as follows:
"Anti-Money Laundering Law" means the Prevention and Suppression of Money Laundering Activities Laws;
"Vista" means Vista Infotech Ltd (registered number: 12483954) whose registered office is at Long Lodge, 265-269 Kingston Road, Merton Park, Wimbledon, SW19 3NW, England;
"Paycent Wallet" means the electronic money account you open and maintain with Paycent application;
"E-money Law" means the Electronic Money Law;
"Fees" means the charges payable by you to us for using our services;
"Customer Support" means our customer support, which you can reach by sending a message through the "Contact Us" facility on the Website and/or Application;
"Merchant" means an establishment that is willing and authorized to accept Paycent a means of payment in exchange for the purchase of goods and services by you, whether such purchase takes place in a face to face environment or in a non-face to face environment.
"Security Information" means your password and your PIN;
"Terms of Use" shall mean these Paycent Terms of Use, published on the Website and as may be amended from time;
"We", "us", "our" means Vista Infotech Ltd; and
"You", "your" means you, the natural person who uses and maintain the Paycent.
